Board of Directors' Terms and Duties
Current Officers, Board Members, Committee Chairs and Representatives
Function:
The Board of Directors shall exercise general supervision over the property and affairs of the council. It shall have the general power to administer the affairs of the council between council meetings and shall report its actions to the membership for approval. Composition:
The Board of Directors shall consist of all current officers, the past president, nine elected members at large, the chairs of the standing committees, and all representatives of districts and special interests. The president appoints representatives with approval by the board. The president shall serve as chair of the Board. Committee chairs shall be ex-officio members of the Board. All members of the Board of Directors have voting privileges. (ARTICLE V – Section 2, TARC Bylaws, 2/19/01)
Meetings:
The first meeting of the Board of Directors shall be held no later than June in order that the standing committees may be appointed with the greater part of the year remaining for their specific work, and in order that the yearly calendar may be established with the program committee. The Board of Directors shall be empowered to hold such meetings as it shall deem necessary on the call of the president, at such times and places as the president may determine. No less than three (3) board meetings shall be held each year. (ARTICLE V – Section 3, TARC Bylaws, 2/19/01)
Authority:
The President is authorized to consult the Board concerning important decisions which must be made between meetings. (ARTICLE V – Section 4, TARC Bylaws, 2/19/01)
Quorum:
A quorum is established when 40% of the Board members are present. (ARTICLE V – Section 5, TARC Bylaws, 2/19/01)
Term of Office:
The members-at-large of the Board of Directors shall serve for three years; three members being elected each year. The term of office of each elected member shall begin April 15. (ARTICLE V – Section 6, TARC Bylaws, 2/19/01)
